These Terms and Conditions (“Terms”) govern your access to and use of the press release distribution services (“Services”) provided by Travel Trade Today Ltd., located in Soweto, Gauteng, South Africa (“we,” “us,” or “our”). By submitting a press release for distribution, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
By using our Press Release Distribution Services, you affirm that you are of legal age to enter into this agreement and have the authority to submit content on behalf of the entity you represent. You acknowledge that these Terms constitute a legally binding agreement between you and Travel Trade Today Ltd.
We provide a paid press release distribution service, facilitating the dissemination of your press release content to a network of media contacts, news outlets, and online platforms. While we endeavor to maximize reach and visibility, we do not guarantee specific placements, publication, readership numbers, or media coverage. Our service is limited to the distribution of your content as provided.
You are solely responsible for the content of your press release, including, but not limited to, its accuracy, legality, truthfulness, and any claims or statements made within it. You warrant and represent that:
a. Accuracy and Legality: All information, facts, and statements in your press release are accurate, truthful, not misleading, and fully compliant with all applicable laws and regulations, including but not limited to consumer protection laws, advertising standards, and intellectual property laws in South Africa and any other relevant jurisdiction. b. Originality and Rights: You are the sole author of the press release content or have obtained all necessary rights, licenses, consents, and permissions to submit the content for distribution, including any text, images, videos, audio, or other media. Your content will not infringe upon any third-party intellectual property rights, including copyrights, trademarks, privacy rights, or publicity rights. c. No Prohibited Content: Your press release will not contain any content that is: * Defamatory, libelous, or slanderous. * Obscene, indecent, pornographic, or sexually explicit. * Hate speech, discriminatory, or promotes violence or illegal activities. * False, fraudulent, misleading, or deceptive. * Malicious software, viruses, or any code designed to harm or disrupt computer systems. * Spam, phishing attempts, or unsolicited commercial messages. * Promotional material for illegal products or services. d. Review and Approval: You acknowledge that we reserve the right, but are not obligated, to review press releases for compliance with these Terms. We may, at our sole discretion, reject or refuse to distribute any press release that we deem inappropriate, non-compliant, or potentially harmful to our reputation or the integrity of our service, without refund. e. Corrections: You must provide final, edited content. While we may offer minor formatting assistance, we are not responsible for proofreading or editing your content for factual errors, grammatical mistakes, or typos. Corrections requested after submission or distribution may incur additional fees.
a. Service Fees: Our fees for the Services are as stated on our website or as otherwise agreed upon in writing. All fees are quoted in United States Dollars (USD) unless otherwise specified. b. Payment Terms: Payment for Services is due in full prior to the commencement of distribution, unless otherwise agreed upon in writing. We reserve the right to withhold distribution until full payment is received. c. Non-Refundable: All payments for Services are non-refundable once the distribution process has begun or the press release has been accepted for distribution, even if the content is subsequently withdrawn by you or rejected by us due to non-compliance with these Terms. d. Changes to Fees: We reserve the right to change our fees at any time, with reasonable notice provided on our website or directly to you.
You retain all ownership rights to the content of your press release. By submitting your press release, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content solely for the purpose of providing the Services, including distribution to our media network.
Our Services are provided on an “as-is” and “as-available” basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will be uninterrupted, error-free, secure, or meet your specific requirements.
To the fullest extent permitted by law, in no event shall Travel Trade Today Ltd., its directors, employees, affiliates, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Services, or any content submitted by you, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claims arising out of or related to these Terms or the Services shall not exceed the amount paid by you to us for the specific Service giving rise to the claim.
We are not responsible for the actions or inactions of third-party media outlets, journalists, or platforms to whom your press release is distributed. We have no control over their editorial decisions, publication schedules, or content guidelines.
You agree to indemnify, defend, and hold harmless Travel Trade Today Ltd., its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from or relating to: a. Your violation of these Terms. b. Your press release content, including but not limited to claims of defamation, infringement of intellectual property rights, privacy violations, or false advertising. c. Your use of the Services. d. Your violation of any applicable law or the rights of a third party.
We reserve the right to suspend or terminate your access to the Services, at our sole discretion, without notice and without liability, if you breach these Terms or if we believe your actions may cause legal liability for us or others.
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services, including the breach, termination, or validity thereof, shall be resolved through good faith negotiations. If a resolution cannot be reached, the dispute shall be submitted to the courts of South Africa, specifically within the jurisdiction where Travel Trade Today Ltd. is primarily located (Gauteng), which shall have exclusive jurisdiction.
a. Entire Agreement: These Terms constitute the entire agreement between you and Travel Trade Today Ltd. regarding the Services. b. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. c. Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. d. Changes to Terms: We reserve the right to modify or revise these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
By submitting your press release, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
